For M&A, private-equity and CFIUS counsel

The target's vendor and supplier list, read against the federal national-security and trade lists on one date.

Drop the target's vendor, supplier or customer list and get one receipt per name: what the Consolidated Screening List (BIS Entity, Unverified and MEU lists), OFAC's SDN list, the DoD Section 1260H notice, the FARA registration file, the UFLPA Entity List, the FCC Covered List and SAM.gov printed under the exact name on that date — and which did not answer. One bundle hash over the whole list for the data room. Nothing certifies that a supplier is or is not on a list; the receipt prints what the lists printed, and exposure is counsel's conclusion.

The rule as written

31 CFR Part 800 (CFIUS regulations) — context; EAR Part 744 and the Consolidated Screening List; FY2021 NDAA §1260H; FARA

Part 800 governs CFIUS filings and review; it does not itself require a vendor screen. Acquirers screen supplier lists as diligence because the lists carry export-control, sanctions and defense-designation consequences. The receipt is the dated record of what those lists printed for each exact name.

What the receipt shows

  • Consolidated Screening List rows (BIS Entity, Unverified, MEU, Nonproliferation; OFAC; State AECA debarred) as printed, with the list's own date
  • DoD 1260H notice rows; FARA registrants; UFLPA Entity List; FCC Covered List; UN Security Council list; SAM.gov Exclusions
  • EDGAR filings and USAspending awards for the same exact name — the crosswalk of identifiers one official row printed together
  • Which lists did not answer, named — never read as a clean result
  • Roster receipt over the whole list, up to 500 names, one bundle SHA-256 for the data room
  • Per-name dated chronology and the receipt's Verifiable Credential export

How it fits your workflow

  4. 4. For filing

If a receipt may be filed or produced, the Litigation Report adds the custodian declaration and the dated chronology.

Duty sheets and form lines

A Duty Sheet puts the dated record beside the rule's own question and builds a fresh receipt for the name you give it (sample: Wellpath LLC): Transaction supply-chain duty sheet ↗ · OFAC screening duty sheet ↗ · Counsel exclusion-diligence duty sheet ↗.

The form lines these receipts are filed behind, with the auditor's test cited: FAR 52.209-6 · 2 CFR 180.300. Full forms register · read profiles · published prices.

What it does not do

  • We do not certify that any supplier is or is not on a list, and we do not say whether a transaction has CFIUS, export-control or sanctions exposure — counsel does.
  • A same-name row is a candidate for counsel to resolve; the receipt does not assert identity or ownership. Beneficial ownership (FinCEN BOI) is named as not read.
  • We do not read PACER, foreign registries beyond those published as open files, or any paid database.
  • The hash, signature and timestamp prove the integrity of our capture — not the truth of what the agency printed.

Public-record evidence, not legal, compliance or eligibility advice. Hashes, signatures and timestamps prove the integrity of our capture; the agency remains the author of its record. When the agency did not answer · Who pays us.
